Recruitment fraud and scam alert

Please be aware that Borouge has been receiving notices from candidates seeking clarification of job offers and recruitment propositions they receive. These job offers come from organisations or individuals who are falsely pretending to recruit on behalf of the Abu Dhabi Polymers Company (Borouge) or by people claiming to work for, or are affiliated, to Borouge. In return, they ask the recipients of the job offers to transfer a significant sum of money to pay for certain employment requirements such as visa, etc.

Please note that neither Borouge nor any of the legal organisations that recruit on our behalf ask for any money or payments from applicants at any point throughout the recruitment process. All the successful individuals who have been directly or indirectly provided with job offers from Borouge are always required to go through a formal recruitment process. All communications with this regard should originate from a verifiable Borouge email address (borouge.com) and not from an internet email addresses such as hotmail, yahoo or others.

What you need to do…

• Do not respond to unsolicited job offers from organisations or email addresses that you do not know or trust especially when you have not applied nor gone through any interview with Borouge yet

• Do not disclose your personal or financial details to anyone you do not know or trust or on a website you are not familiar with

• Be aware and look out for suspicious signs such as communications from non-Borouge email addresses, poor use of English and materials and requests for fees or money

About the Job

Role Purpose:

Provide Corporate and Commercial Legal Advice to all Borouge Group Companies in the PRC with the aim to protect the organization and to minimize and manage legal risks by

(a)  giving legal support in commercial transactions, legal disputes and projects, and ensuring that they comply with the company’s policies and practices;  

(b) managing compliance with corporate governance rules; and

(c) ensuring that the organization and its business practices comply with laws and regulations within the legal department’s area of responsibility.  

Area of responsibility

 

Primary Responsibilities

 

  • Commercial Contracts: Draft, review and participate in the negotiation of a broad range of routine commercial contracts with customers and suppliers (e.g. sales & purchase agreement, service agreements, confidentiality agreements, tolling agreements; general services agreements etc); support the Legal Counsel of the Borouge Group and/or coordinate with outside counsel the drafting, reviewing and negotiating of complex commercial contracts

 

  • Corporate Governance: Manage corporate governance and company secretarial support; ensure that internal arrangements are properly documented (intercompany agreements)

  • Projects: Participate in projects with regard to investment

 

  • Legal Advice: Other corporate commercial legal advice, as required. Provide internal support to all corporate and business units in the PRC, in particular the procurement department

     

  • Claims & Litigation: Assist in management of claims and litigation

 

  • Tool Kits: Assist in the development of contract templates, tool kits etc

 

  • Outside Legal Counsel: Interface with outside legal counsel, where specialist advise is required

     

  • Information on Legal Development: Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company’s transactional practices

About the Person

Skills:

S1. Education

  • University Degree in Law From a Reputable P.R.C. University.

  • Post graduate degree from an overseas university a plus, but not essential.

  • PRC Bar exam preferred, but not essential

     

S2. Experience

  • 5-8 years in a reputable law firm (with a focus on corporate and commercial matters) and/or in-house legal department of a multinational company (manufacturing industry preferred)

     

  • Ability to work independently in the drafting, reviewing and negotiating of transactional documents and correspondence on a broad range of simple to medium complex transactions

  • Good understanding of risk management and commercial practices

  • Direct working experience in the petrochemical industry will be an advantage

  • Experience in PRC tax, employment law, intellectual property law or regulatory matters will be an advantage, but is not essential.

  • Proficient in Microsoft applications

  • Ability to draft contracts and communicate in English and Mandarin

     

    S3. People

  • Strong time management, prioritization and organizational skills

  • Ability to apply judgement to broaden influence and provide legal advices to the advantage of the company

  • Ability to work in a changing environment and to be flexible in assuming expanded job responsibilities when required
